Resolute Forest Products disappointed with final U.S. lumber duties
On
Nov. 2, the U.S. Department of Commerce announced countervailing and
anti-dumping duties for Canadian wood producers of 20.83 per cent.The United States Department of Commerce has cut back softwood lumber duties for most Canadian producers, but not for Resolute Forest Products.
Although Resolute's duty is still one of the lowest, the company remains dissatisfied.
In an announcement in Washington on Nov. 2, American government officials revealed that the bulk of Canadian producers will pay a combined countervailing and anti-dumping rate of 20.83 per cent, down from the preliminary duty of 26.75 per cent imposed earlier this year.
For Resolute, the new rate is 17.9 per cent, a marginal increase from the preliminary figure of 17.41 per cent.
In a statement, the company said it's disappointed with the final determination.
It said it remains convinced that lumber from Ontario and Québec mills should have free, unencumbered access to the U.S. marketplace, because it is not subsidized.
The statement added that "the politics of managed softwood lumber trade only serves to benefit large timber barons in the U.S. while adversely impacting Canadian manufacturers, U.S. consumers and millions of hard-working Americans in the housing sector".
The Department of Commerce has applied the highest duties to West Fraser Timber of B.C., at 23.7 per cent, a considerable drop from the preliminary rate of 30.88 per cent.

New Brunswick mills facing increase in U.S. duties on softwood lumber
Biden administration increasing duties on Canadian lumber after a one-year reprieve
New Brunswick softwood lumber producers are being hit once again with higher duties on their exports to the United States.
After a year-long reprieve that gave mills a break thanks to lower duties, the U.S. Commerce Department is raising them again.
Wood from New Brunswick producers, and most producers in the rest of Canada, will now be charged a duty of 11.59 per cent.
That's an increase from the 8.9 per cent that was in effect since last year for most New Brunswick mills and the 4.23 per cent that applied to wood from J.D. Irving Ltd.
"We're very disappointed with the U.S. government's decision to increase these unfair and unwarranted duties against New Brunswick's exports of softwood lumber," Premier Blaine Higgs said in a written statement.

"It's important to remember that in September 2020, the World Trade Organization decision on this case was overwhelmingly favourable to Canada and New Brunswick."
The New Brunswick Lumber Producers, an industry group representing companies affected by the U.S. trade action, did not immediately respond to a request for comment.
Higgs said his government would continue to work with Ottawa to fight the tariffs "through all the legal avenues available."
But given how long that can take, "it's time for the Governments of Canada and the U.S. to return to the bargaining table to resolve this dispute and avoid further protracted litigation," Higgs said.
American competitors have complained for years that Canadian wood is so subsidized that sales in the U.S. amount to unfair competition. The U.S. has repeatedly applied duties to artificially raise the price of the Canadian lumber for buyers south of the border.
New Brunswick and the rest of Atlantic Canada were exempt from that for decades. But in 2017 the U.S. ended the exemption for New Brunswick.
A U.S. lumber group argued that the province's 2014 forestry plan was leading to more and more wood exports from publicly owned Crown land that it considered subsidized.
It also cited a 2008 report by New Brunswick's auditor general that the provincial wood market was "not truly an open market."

It said the provincial system for surveying private wood sales to set the rate for government-owned Crown land relied on incomplete and sample sizes in some parts of the province, making it difficult to assess whether the Crown rate reflected market conditions.
Last year Auditor General Kim Adair-MacPherson said the market survey system had improved with "significant improvements in the process and the methodology."
The previous provincial Liberal government of Brian Gallant had hired a Washington-based lobbyist with Republican connections to try to get changes to the duties, but to no avail.
And J.D. Irving volunteered to submit itself to a separate investigation that allowed it to win a lower duty rate than other provincial producers.
Under U.S. law, duties are reviewed every year, and last year's review led to lower rates. But the 2021 review has raised them again.

This year's review focused on two non-New Brunswick companies, Canfor Corp. and West Fraser Mills Ltd. It set new rates for both companies and set a figure between those two rates to all other Canadian companies.
That applies to J.D. Irving Ltd., Twin Rivers Paper Co. Inc. and many smaller New Brunswick mills.
The September, 2020 WTO ruling said the U.S. was wrong to impose duties in 2017 because the Commerce Department made mistakes calculating benchmark Canadian timber prices used to assess if mills were paying appropriate provincial stumpage fees.
At the time the Trump administration attacked the ruling as unfair and said it would invoke a WTO appeal process, but that couldn't go forward because Trump was refusing to make U.S. appointments to the appeal body.
So far the Biden administration has not made any appointments either, extending the logjam.
Quebec company says J.D. Irving used access to influence softwood duties

Montreal-based Resolute Forest Products said in filings with the U.S. Commerce Department that co-CEO Jim Irving spoke by phone with former secretary Wilbur Ross in August 2020.
"Following the meeting between Messrs. Ross and Irving, J.D. Irving Ltd. was accepted immediately as the fourth company to be individually reviewed" in the trade investigation, Resolute said in a case brief filed in July.
As a result of the latest review, Irving wood will be subject to a 3.41 per cent countervailing duty, compared to 6.31 for most Canadian firms. Duties raise the price charged to buyers of a product, making it less competitive.
In twin rulings last week on two categories of duties, the Commerce Department rejected the claim that the phone call with Ross played a role in Irving getting to plead its case separately.
"Resolute's suspicion that our selection of J.D. Irving was the result of the owner of J.D. Irving gaining access to the Secretary of Commerce, while Resolute did not, is untrue," the department wrote in an issues and decision memorandum released Nov. 24.

The department wrote that it wanted to investigate one company from Eastern Canada to ensure "wide geographic coverage" in its review of the countervailing duties.
But it said that "geographic coverage was a relatively unimportant determinant" in the separate anti–dumping review in which Resolute asked to be investigated individually.
Singling out Resolute "would have been a poor allocation of our strained resources," it said.
Resolute complained last July that the department "argues disingenuously that geography does matter for countervailing duty investigations, but not for anti–dumping."
Under U.S. trade law, a company chosen as a "voluntary respondent" gets to present its own sales, cost and subsidy data rather than being lumped into a single category with dozens of other producers.
Irving first used that provision in 2017 to win a lower countervailing duty.

The new duty rates resulted from an annual review of the amounts first set in 2017, when the U.S. ruled that Canadian wood exports into the U.S. were undercutting domestic sales thanks to government subsidies that made them cheaper.
Irving's countervailing duty will be 3.41 per cent, the second-lowest in Canada after Canfor Corp. at 2.42 per cent. Resolute was hit with an 18.07 per cent duty. Most other lumber exports are subject to 6.31 per cent countervailing duties.
In a separate ruling last week, the U.S. raised anti-dumping duties to 11.59 per cent for most Canadian companies including Irving.
That leaves JDI's wood exports subject to a total of 15 per cent in duties, compared to 17.9 for the majority of Canadian mills and 29.66 for Resolute.
Wood from the Atlantic Provinces was historically exempt from such duties, but in 2017 the U.S. included New Brunswick because it decided subsidies had reached too high a level.
Since then, the duties have been subject to annual retroactive reviews. This year's review was based on 2019 data.
J.D. Irving did not respond to a request for comment on Resolute's claim.
According to an Aug. 14, 2020 memorandum filed online, the phone call between Irving and Ross took place two days earlier, at 2:30 p.m.
Ross and four other Commerce Department officials were on the call with Jim Irving and Ross Langley, JDI's executive vice-president.

It wasn't the first contact between JDI and Ross.
In 2017, Ross was a special guest when co-CEO Robert Irving announced plans for a new $400 million US tissue plant the company would build in Macon, Georgia.
Ross sat next to Jim Irving at the event and joked about JDI's success with the crowd.
"Their long term perspective is nothing to sneeze at," said Ross. "But if you do have to sneeze, please use a Scottie tissue," a brand Irving owns the rights for in the U.S.
Not the only example
Several Washington heavy-hitters have also gone to bat for JDI in other trade cases.
Public records showed in 2015 that two powerful Democratic senators, Chuck Schumer and Heidi Heitkamp, asked the administration to go easy on Irving when applying duties on supercalendered paper made at the company's Saint John mill.
Heitkamp, who represented North Dakota, "expressed her concern" that punishing Irving might harm JDI's agricultural business in her state.
A third Democratic senator, Joe Manchin of West Virginia, called a Commerce Department official "on behalf of" J.D. Irving Ltd., according to documents. The company had not "done anything wrong," Manchin said.
And then-Maine Governor Paul LePage wrote the Obama administration arguing Irving should be given a chance to make its case. JDI employed 1,200 people in Maine in 2015.

In 2017 JDI executive Jerome Pelletier said the company maintains an "open channel of communication with different stakeholders in the United States … to ensure we're represented properly" in Washington.
He said that was done in conjunction with other mills as part of the New Brunswick Lumber Producers, a group set up to fight the U.S. trade action.
As part of this year's review, the New Brunswick government urged the U.S. to "reassess" its finding that N.B. Power's Large Industrial Renewable Energy Purchase Program amounts to a subsidy for six large pulp and paper mills, including three owned by Irving.
The province argued that the World Trade Organization ruled last year against "key portions" of the American findings about the energy buy-back program.
The arrangement requires N.B. Power pay the mills elevated prices for renewable energy they generate, then sell it back to them at a discount.
The Commerce Department said it had not changed its mind about that being a subsidy.
"Because N.B. Power works backwards from the target discount, the program guarantees that the target discount is reached each month by adjusting the volume of N.B. Power's purchases of electricity from the participating Irving companies," says last week's ruling.
"In other words, N.B. Power has determined in advance the amount of credits it wishes to give the participating Irving companies."
The U.S. noted that WTO rulings are "without effect" under U.S. law until an appeal process has unfolded and a formal report is issued.
The WTO's appeal process has been frozen because Trump refused to appoint Americans to the body, and President Joe Biden is doing the same.

Remi G. Lalonde
Mr. Lalonde was appointed president and chief executive officer and a member of the company’s board on March 1, 2021.
Mr. Lalonde has been with the company since 2009. He previously served as senior vice president and chief financial officer from November 2018 to March 1, 2021, after being vice president for strategy, M&A, business development and procurement from May 2018 to November 2018. He was general manager of Resolute’s pulp and paper mill in Thunder Bay (Ontario) from February 2016 to May 2018. Alain Rhéaume

Senior VP Jacques Vachon set to retire after 36 years with Resolute

Resolute Forest Products’ senior vice-president of corporate affairs, Jacques P. Vachon, has announced his intention to retire at the end of 2021 after more than 36 years with the eastern Canada forestry company.
Vachon, who is also Resolute’s chief legal officer, began his career as a lawyer at the company’s offices in Quebec City. He has been a member of the executive team for nearly 25 years.
“On behalf of the board and the executive team, past and present, I want to thank Jacques for his many years of loyal service to the company,” Remi G. Lalonde, president and chief executive officer of Resolute, said in a news release. “As an executive, he has been the guardian of this company’s moral compass for decades. We all join to wish him a happy, healthy and well-deserved retirement. Jacques has agreed to serve as a special advisor to me on a part-time basis for the next year.”
Stephanie Leclaire, Resolute’s vice-president for legal affairs for the past 15 years, has been tapped as Vachon’s replacement.

She received bachelor’s degrees in civil and common law from Université de Montréal and Osgoode Hall Law School of York University, as well as a master of laws from New York University School of Law.

the hearing when NB Power lawyer John Furey first raised concerns
matters were falling behind schedule.
Several self-represented participants have been taking turns
questioning NB Power's plans on an equal footing with lawyers hired by
companies, like J.D. Irving Ltd. and Enbridge Gas New Brunswick, and
municipal utilities like Saint John Energy.
Gently guided on proper procedure by Beaulieu, non-professional
participants have had free rein to have a say.
Anti-smart meter activist and St. Louis de Kent dentist Roger Richard,

Those participants include environmentalist Chris Rouse, anti-smart
meter activist and St. Louis de Kent dentist Roger Richard and
political hopeful Gerald Bourque, the leader of the fledgling KISS
N.B. Political Party.
They've been able to submit evidence, call witnesses and cross-examine
NB Power executives and others and make motions.
NB Power deadline in jeopardy
On day five, Beaulieu told environmentalist Daniel LeBlanc, who is
working with Richard, to take as long as he needed to get full answers
to questions from NB Power witnesses.
"If you feel that your questions are not answered — you have the
floor, so it's your right to ask your question again if you feel the
panel members are not responding to your questions," he said.
"Thank you," said LeBlanc, who went on to ask questions for three and
a half hours."
My obvious question today is why is there such a long delay in the
public getting the chance to read the transcript of the one and only
Public Session? When we last spoke the lady sitting beside you told me
it was almost done, so why has it not been filed in the public record?
I am sorry but I no longer consider my concern about this issue
confidential because something is smelling rather fishy and I must
make my indignation well know not only for my benefit but the public
as a whole. However I also know it is not your fault that the
transcript of the Public Session was not file I blame the Board, its
lawyers and their politcal puppet masters. Obviously I made certian
the Ms. Desmond and Mr Young know it. The lawyers are all well aware
of Section 300 of the Canadian Criminal Code and why I am preparing to
sue them because the RCMP won't do their job. Hence no transcript of
the Public Session Correct Ms Desomond?
During our last converation you told me you could no longer file
anything from me and I understood. Need I say that I regret telling
you not to file the rest of this email and its attachments so I
published them myself?

8. New Brunswick Large Industrial Renewable Energy Purchase Program
The New Brunswick Department of Energy and Resource Development (DERD)
and New Brunswick Power (NB Power), a Crown corporation, administers
the Large Industrial Renewable Energy Purchase Program (LIREPP)
pursuant to the Electricity from Renewable Resources Regulation and
with authority under the Electricity Act. According to the GNB, the
program has two main objectives: (1) reach NB Power’s mandate to
supply 40 percent of its electricity from renewable sources by 2020 by
buying energy from large industrial customers; and (2) bring large
industrial enterprises’ net electricity costs in line with the average
cost of electricity in other provinces.
The LIREPP program is available to any large industrial company that
produces renewable energy and owns and operates a facility that has an
electrical energy requirement of not less than 50 GWh per year, that
obtains all or a portion of its electricity on a firm basis (vs.
interruptible basis) from NB Power, and that exports at least 50
percent of its primary products produced to another province or
territory within Canada or outside the country. There is no formal
application process. Despite LIREPP participation being available to
all large industrial users, the GNB has reported that there are a
small number of users of the program and that all companies
participating in LIREPP operate within the pulp and paper industry.
Under the LIREPP program, NB Power first determines the credit it
wants to give the large industrial customer, such as Irving; NB Power
then works backwards to build up to that credit through a series of
renewable energy power purchases and sales and additional credits.
This overall credit is known as “Net LIREPP” or the “Net LIREPP
adjustment,” and it appears on the participating customers’
electricity bill as a credit applicable to their total electricity
charges. Irving reported that it participated in the LIREPP program
and received a Net LIREPP credit on each of its monthly electricity
bills. Irving’s receipt of the LIREPP credit is recorded in its
accounting system as a rebate.
According to the GNB, DERD performs a calculation to determine the
Canadian average firm energy rate (in $/MWh) for the relevant
industries, and then calculates the difference between that rate and
the average firm energy rate in New Brunswick. This differential is
annually calculated as a percentage. This percentage, known as the
Target Reduction Percent, is the amount by which NB Power reduces the
total electricity costs for LIREPP participants. When the Target
Reduction Percent is multiplied by the LIREPP participant’s firm
energy usage it yields the Target Discount. The Target Discount is the
amount by which NB Power reduces the electricity bill of the LIREPP
participant.
We preliminarily determine that the LIREPP program provides a
financial contribution in the form of revenue foregone, as described
under section 771(5)(D)(ii) of the Act. We further preliminarily
determine that the Net LIREPP credits provided under the program
confer a benefit within the meaning of section 771(5)(E) of the Act
because Irving received a credit from the GNB to offset its
electricity costs. We also preliminary determine that this program is
de facto specific under section 775(5A)(D)(iii)(I) because the actual
recipients of the subsidy are limited in number.
Because this program provides benefits on a recurring basis, to
calculate the benefit from the electricity credits that Irving
received under the LIREPP program, we summed the total amount of
energy subsidies reported by Irving during the POR. We divided this
total by the appropriate sales denominator.On this basis we
preliminarily determine the countervailable subsidy for Irving to be
1.58 percent ad valorem.

I must say I find it very interesting that the Irvings would employ
the local law firm of Cox & Palmer to take on the Feds with a
constitutional challenge and yet in the very same court the Empire
strikes using the fancy law firm McCarthy Tétrault from Upper Canada
to sue the Private Woodot Owners Association in Southern New
Brunswick. Go Figure.

Wilbur Ross Remained on Chinese Joint Venture Board While Running U.S.-China Trade War
Chinese documents show that the U.S. commerce secretary did not successfully step down from all his corporate commitments.
Wilbur Ross, an investor-turned-U.S. commerce secretary, has long been accused of ethical violations because of his failure to extricate himself from his business ties. Documents obtained by Foreign Policy show that Ross’s potential conflicts of interest around Chinese business are greater than previously known.
In Chinese corporate documents obtained by Foreign Policy, Ross is listed as serving on the board of a Chinese joint venture until January 2019—nearly two years into his term as commerce secretary. That joint venture, now called Huaneng Invesco WLR (Beijing) Investment Fund Management Co., is an investment partnership formed in September 2008 between Huaneng Capital Services, the U.S. management company Invesco, and a firm Ross founded, WL Ross & Co. Huaneng Capital Services is an arm of China Huaneng Group, a major state-owned power producer.
The documents correspond to the information found on Chinese corporate data sites, such as Qichacha and Qixinbao, including the dates of board membership. The documents don’t say if Ross was paid for his board seat or whether there is any current financial relationship between Ross and the joint venture. It’s also unclear if Ross knew that he remained on the board seat: The more recent documents don’t include the signatures or seals of the individual board members. That Chinese documents state Ross was on the board of a Chinese joint venture until 2019 has not been previously reported.
The U.S.-China trade war started heating up in the summer of 2018, as Beijing and Washington levied increasingly onerous tariffs on each other. At the same time as Ross was overseeing the trade war as U.S. commerce secretary, he was still, according to the paperwork, on the board of a joint venture that was a partnership with a Chinese state-owned firm. “Instead of reporting on well-documented facts, including a dated and signed letter of resignation that I provided them, Foreign Policy Magazine is purporting a false narrative that I remained on the board of a Chinese company, citing Chinese documentation,” Ross replied in a statement sent by the U.S. Commerce Department. “It is clear which foreign policies Foreign Policy Magazine actually support and the American public deserves better.”
The letter that Ross provided to Foreign Policy is dated Feb. 27, 2017, marked “Confidential,” and has as its subject line “Re: Resignation from WLR Entities.” In the letter, addressed to WL Ross & Co., Ross writes that he “shall be deemed to have retired, resigned or withdrawn” from every entity affiliated with WL Ross & Co. Ross lists dozens of companies that he claims the letter applies to, including those affiliated with Huaneng. But Chinese corporate law experts consulted by Foreign Policy say that under Chinese law, writing a private letter to a U.S. parent company does not remove one from Chinese corporate boards.(Invesco, which owns WL Ross & Co., declined to comment for this story.) “The failure to withdraw from the board may have just been an inadvertent slip, but what you said is clearly not a ‘false narrative,’” said Fred Rocafort, an attorney at the international law firm Harris Bricken. “Chinese corporate records establish, without a doubt, that he was officially on the board until February 1, 2019.”
Ross’s position as commerce secretary allowed him to influence the direction of the U.S.-China trade war and America’s global trade policies. While there is no evidence that Ross directly benefited from the joint venture while serving as commerce secretary, entanglements like this have traditionally been seen as potential violations of the national interest. “Public trust demands that all employees act in the public’s interest, and are free from any actual or perceived conflicts when fulfilling the governmental responsibilities entrusted to them,” the then-acting director of the U.S. Office of Government Ethics wrote to Ross in a July 2018 letter, about other inadvertent ethical violations.
On March 20, 2017, less than a month after Ross was confirmed as commerce secretary, the joint venture entered into a partnership with the parent company Huaneng and Taikang Assets Management Co., a subsidiary of the major Chinese insurance firm Taikang. The companies agreed to raise 5 billion RMB ($745 million) to invest in renewable energy projects—a market that Ross had influence over at the Commerce Department and which was directly affected by trade tariffs. Ross’s relationship to the Taikang partnership has not been previously reported. (Taikang Assets and Huaneng didn’t respond to requests for comment. A representative of the Huaneng joint venture, Catherine Han, didn’t respond to requests for comment.)
One set of documents that Foreign Policy obtained, dated March 2018, show that the joint venture filed paperwork stating which of its previous board members would continue to serve on the board. Ross’s name is on that list. Another document, from January 2019, removes Ross from the board and appoints the investor Nadim Qureshi as a new board member. Qureshi served on the board until September 2020. (At the time, Qureshi was a managing partner at WL Ross & Co., according to his LinkedIn profile; he didn’t respond to a request for comment.) The joint venture affixed its seal to the document. Under Chinese law, a seal is generally seen as more official than a signature.
Ross attended a board meeting in September 2012 and signed an agreement with other directors to, among other changes, increase the company’s registered capital to 170 million RMB ($25 million) and its total investment to 510 million RMB ($76 million) and to change the name of the joint venture from Huaneng Invesco WLR Investment Consulting Co. to its current name.
Long bullish about investing in China, Ross and his firm WL Ross & Co., along with Invesco, formed the joint venture to “tap into private equity investments in power generation in China,” the firm said in a 2008 press release. In 2000, Ross founded the private equity firm WL Ross & Co., which focused on distressed assets. He sold the firm to the money manager Amvescap (now Invesco) in 2006.
Ross continued serving as the CEO of Invesco’s private equity groups until joining the government in February 2017. But Ross only sold his shares in Invesco in December 2017—nearly a year into his tenure as commerce secretary. He was supposed to sell his shares, valued between $10 million and $50 million, before the end of May 2017. But the nonprofit Center for Public Integrity found that, because Invesco’s stock rose in the meantime, the delay netted Ross between $1.2 million and $6 million. “I discovered that the previously held stock had not been sold. I then promptly sold these shares,” he later wrote in a disclosure.
Ross has been repeatedly warned about ethics violations. In his December 2016 ethics disclosure forms, Ross disclosed that he was on the board of the Huaneng joint venture, from 2008 until “present.” In March 2018, the nonprofit liberal advocacy group Public Citizen released a report titled “Follow the Money: Did Administration Officials’ Financial Entanglements with China Delay Trump’s Promised Tough-on-China Trade Policy?” The report discusses many of Ross’s alleged conflicts of interest with China, including his relationship with Diamond S Shipping, a Connecticut-headquartered firm that at the time was partially owned by the Chinese government. The report also mentions Ross’s relationship with Huaneng. (In a September 2019 interview with the Washington Post, Ross denied ever having any conflicts of interest while in government.)
In July 2018, the Office of Government Ethics wrote a scathing public letter to Ross, criticizing him for “various omissions and inaccurate statements” in his disclosure forms and compliance documents. “[E]ven inadvertent errors regarding compliance with your ethical obligations can undermine public trust in both you and the overall ethics program,” the letter states. In response, Ross filed an extensive annual financial disclosure report for that year. In February 2019, the director of the Office of Government Ethics refused to certify the report because Ross didn’t sell all his shares in the Florida-based bank BankUnited.
But there was another possible error in Ross’s 2018 financial disclosure report. In the report, Ross claims that he had left the Huaneng joint venture in February 2017. But according to Chinese law, he was still a director of the joint venture until 2019. This error, however inadvertent, on Ross’s financial disclosure report has not been previously reported.
Having close ties with the Chinese Communist Party (CCP) is seen as a requisite for succeeding in private equity in China, especially in the power sector, which is dominated by well-connected state-owned firms. For example, Li Xiaopeng, the son of former Chinese Premier Li Peng, ran Huaneng from 1999 until the summer of 2008, when he left to become vice governor of the province of Shanxi. He’s now China’s transportation minister. Of the five other people who the documents show served on the board with Ross from 2018 to 2019, at least two are members of the CCP, according to their bios on a Chinese corporate registry site.
Invesco’s press release about the joint venture has been removed from its website, but it’s still available on the Wayback Machine, a nonprofit digital web archive. “This unique collaboration,” Ross said in the release, benefits from the “skillsets and relationships of a powerful Chinese partner, one of the largest state-owned enterprises.” And it represents, he added, “living proof of the financial and intellectual interconnectedness of two of the world’s great powers, China and the United States.”
