Multimillionaire calls CRA negligent, wants $4.8M tax bill thrown out
Agency says it reassessed Charles Shaker but it’s unclear whether it ever sent any notice
A British Canadian money manager who's been at odds with the Canada Revenue Agency for more than a decade wants a judge to toss out a nearly $5 million bill for back taxes, saying the CRA never sent it to him and now it's too late.
Whether Charles Shaker, 44, has to pay up may hinge on the proficiency of the CRA's mail department.
An auditor concluded in March 2017 that the former Ottawa-area resident owed $3.8 million in extra taxes for 2008 and 2009, according to court records, based on calculations that he had derived millions of dollars in undeclared personal benefits like car and condo fee payments from a financial planning and consulting company he owned. With penalties and interest, the amount has grown to $4.8 million.
But in addition to disputing those numbers, Shaker alleges the CRA omitted a basic step: It never properly sent him notice that it had reassessed him, or any indication of the amount it wanted him to pay. He's contesting the bill in Tax Court, asking a judge to set it aside.
"The CRA has proffered no evidence that it gave Mr. Shaker any notice whatsoever of the alleged tax debt," his lawyers wrote in a separate but related proceeding last year.
"The CRA is legally required to provide the debtor with proper notice…. Accordingly, there is not, and never has been, any valid tax debt owed by Mr. Shaker."

The CRA wouldn't comment directly on its dispute with Shaker, citing the ongoing court case and taxpayer privacy. It hasn't yet filed its response in Tax Court and has obtained three extensions to the normal deadline.
CBC News emailed Shaker and his tax lawyer Jeff Pniowsky last month and earlier this month requesting comment. Criminal defence lawyer Brian Greenspan replied a week later — saying he'd "been requested to respond" — and that Shaker "vigorously and unequivocally denies any suggestion of impropriety or wrongdoing and will take appropriate action with respect to any renewed attempt to tarnish his reputation by an innuendo of suspicion."
CRA could be 'out of luck'
The CRA does indeed have to send a notice of assessment or reassessment — within required time frames — before it can start trying to collect on any debt, says David Rotfleisch, a Toronto accountant and tax lawyer who isn't involved in the litigation.
"The CRA has the onus of proving, 'Yeah, we sent it,'" he said. "It's not a hard onus. They just have to show that someone mailed it," to the most recent address that the taxpayer provided.
Otherwise, "the CRA is out of luck."
Shaker appears to have landed on the CRA's radar in 2010 largely because his name was on a leaked list of 130,000 people and entities with ties to confidential accounts at HSBC's private bank in Geneva, according to court records from an earlier case.

A CBC News investigation last year found records in a number of tax-haven data leaks showing he at one point owned or was a director of several offshore companies in the British Virgin Islands and Barbados.
After the CRA spent more than five years looking into his dealings, it issued a notice of reassessment to Shaker on March 31, 2017, a tax officer says in a sworn statement filed in one of his earlier court cases.
But no such notice is included as an exhibit, and so far there's no indication in any of the three separate court disputes between him and the tax agency that it mailed one to his address in London.
Shaker says in his sworn statement that he never received anything and that the first time he learned of his supposed debt was last year, when the CRA moved to seize proceeds from two downtown Toronto penthouses that had just sold for a combined $4.3 million. The agency claimed Shaker had an interest in the properties that could be recouped toward his alleged debt. But a judge disagreed, finding that his name was only on title for the condos because he was one of several trustees for the real owner.
That said, the onus is on taxpayers to provide the CRA with an up-to-date mailing address, says tax litigator Jenny Mboutsiadis, of the Toronto-based firm Fasken. Mboutsiadis, speaking generally, says it's quite common for taxpayers to claim that they didn't receive a notice of reassessment — and therefore have time to object to it. But the CRA doesn't have to go far to rebut that.
"If the address on the reassessment is the same as the address on record with the CRA, then it's valid," she said. "The CRA will show a printout from its database showing the address they have for the taxpayer, and they'll show another printout showing where it was mailed."
Mishmash of addresses
In Shaker's case, the court records show that CRA personnel were mailing notices and requests to a mishmash of addresses in London after he moved there in late 2009. In his sworn statements, he says he received some of that correspondence but far from all of it, since often the addresses were out of date.
Shaker's lawyers don't hold back in their pointed criticism of the agency's efforts both in auditing him and in postal proficiency.
At one point, the CRA was addressing mail to Shaker's apartment building on Hertsmere Road in London but omitting the actual suite number, and the mail was being returned to Canada.
"The apparent oversight … is, at its worst, a deliberate omission, and at its best, sheer incompetence," the lawyers write in their court submissions.
In other correspondence filed in court, a lawyer for Shaker says: "There is a persistent lack of professionalism in the entire approach… We must question both the competence with which the audit is being carried out and the bias of those doing so."
The lawyers are trying to have Shaker's 2008 and 2009 reassessments set aside. A Tax Court judge will likely eventually rule whether the reassessments were properly sent, and if not, whether the CRA can exceed the normal three-year time limit for sending them.
Normally, the Income Tax Act requires the CRA to send out reassessments within three years of its initial assessment of someone's tax return. After that, it has to show special circumstances like fraud or misrepresentations due to neglect or carelessness.

He's a self-described money manager for the ultra-rich, with a penchant for pricey champagne and a personal wealth in the eight figures.
But Charles Shaker also has a penchant for not paying his taxes, the Canada Revenue Agency (CRA) claims. And thanks to a lack of transparency — in tax havens but also in Canada — around who owns certain kinds of assets, it's proving hard for the CRA to do anything about it.
Shaker, a British-Canadian financial adviser, made tabloid headlines in 2013 when he ordered a $500,000 round of choice bubbly for revellers at a Formula One party in Monaco. The incident was later featured in a CNBC show called The Filthy Rich Guide.

What the news stories didn't reveal is that around the same time, auditors in Ottawa were poring over his finances — in large part because his name was on a whistleblower's list of 130,000 people and entities with ties to confidential accounts at HSBC's private bank in Geneva.
Shaker already had a relatively modest balance owing of $32,797 at that point, court records show. But after CRA accountants went back over his file, they issued the multimillionaire an updated tax bill for the hefty sum of $3.8 million in 2017.
Five years later, Shaker — who moved from the Ottawa area to England in 2009 and took up residency in Monaco around 2015 — hasn't paid, the CRA says in court filings. With interest, his bill now sits at more than $4.8 million.

He says this is the first he's hearing of it, and he will contest the amount.
"The CRA has not been in contact with me since the creation of the alleged reassessments giving rise to the purported tax debt," the 42-year-old said in a sworn statement filed in court.
"The CRA has repeatedly made mistakes in sending out correspondence over the course of a number of years."
CRA fails to nab penthouse proceeds
The dispute is playing out in Federal Court.
In early November, the government filed a motion to force Shaker's sometime lawyer, Chadwick Boyd of Ottawa, to provide information about a luxury downtown Toronto penthouse that had Boyd's, Shaker's and another man's name on the land title.
If Shaker actually owned part of the condo, the CRA could go after it to recoup his tax debt.
Weeks after the CRA tried, so far unsuccessfully, to get the records from Boyd, the penthouse and another one in downtown Toronto were put on the market. They both sold around New Year's — one went for $2.5 million, the other for $1.8 million — and closed two weeks ago.

The CRA once again went to court, this time to get a cut of sale proceeds, arguing that Shaker had an interest in both properties that could be used toward his alleged $4.8 million in tax debts.
But the government hit a snag — the penthouses were owned in trust, an arrangement where one or several people have legal ownership of an asset but only for the benefit of third parties. One of the condos was held by Shaker, Boyd and another man for the "Richie Rich Holdings Trust," the other for an entity called the "Vinyl Spin Investment Trust."
Court records show the CRA had been trying to get Shaker and others to provide information about the trusts, and who the real beneficiaries were, since at least 2015, to no avail. Without that information, the agency couldn't prove Shaker was a beneficiary, and he himself said in a sworn statement he had no "personal interest whatsoever" in either property. So a judge refused to allow the CRA to touch the proceeds.
"Mr. Shaker is a judgment debtor in his personal capacity and not in his capacity as a trustee of the RRH Trust," Federal Court Judge Elizabeth Walker ruled on March 24. "Trust property is not available to the creditors of a trustee where the debt in question is the trustee's personal debt."
Ironically, she ordered the government to pay Shaker $12,000 for his legal costs.
Pandora Papers leak reveals $4M flat in London
The federal treasury will now have to look elsewhere for assets it can seize. But that could prove even more difficult than the government's doomed attempt to go after the Toronto condos.
Records from a number of leaks of tax-haven financial data, shared with CBC News through its collaboration with the Washington-based International Consortium of Investigative Journalists, show Shaker at one point owned or was a director of several offshore companies in the British Virgin Islands and Barbados.
He's in the Pandora Papers leak from last fall, where CBC News found his name on a BVI company called Branstead Ltd.
Officially, that company has other people apparently serving as "nominees," or stand-ins who sign their names on paper as the directors and shareholders — as fronts for the real owner, essentially. The sole shareholder, on paper, is another corporation called Monet Investment Ltd., with an address in the Seychelles, according to the files in the Pandora Papers.
But one of the leaked documents is a form dated 2017 from an offshore services provider called Trident Trust, declaring Shaker is the "beneficial," or actual, owner of Branstead Ltd. The company's declared activity is "property holding."

It is legal in most jurisdictions, including Canada, to use nominee directors and shareholders, but it's often a tactic — especially in tax havens — to hide the people who truly control a company and its assets.
Branstead Ltd., in turn, owns a penthouse apartment in the Canary Wharf area in London that was purchased in 2010 for the equivalent of $4 million, U.K. property records show.
The CRA told CBC News that, in general, it could potentially use terms in Canada's tax treaty with Britain to try to recover a tax debt from someone living in England.
Without access to the Pandora Papers leak, though, the CRA would almost certainly not be able to make the link between Shaker and the multimillion-dollar London apartment.
That's because Britain, like most of Canada, does not record the identities of the beneficial owners of property — the real owners behind layers of corporations or trusts — in its land registry. And the British Virgin Islands, like most of the world, doesn't require corporations to disclose who their real shareholders are.
"[The CRA's] hands are tied because they simply don't have the tools to be following those assets around the world," said Kevin Comeau, a lawyer and expert on corporate transparency.
Public registries would help CRA, lawyer says
Comeau, alongside numerous transparency groups, has been advocating for years for countries and Canada's provinces to adopt beneficial-ownership registries that publicly record who the real owners are of land and of significant shareholdings in private companies.
Not only would that help crack down on money-laundering, by potentially exposing where criminals or their known associates park ill-gotten gains, but in the tax arena, it could give revenue agencies like the CRA "much more information and an ability to trace those funds" of people who might not be paying their fair share, he said.
British Columbia is the only jurisdiction in Canada with a beneficial ownership registry for property, implemented in the wake of findings of significant money-laundering in the province's real estate sector.
Meanwhile, the federal government has pledged to implement one for corporations by the end of 2023, as part of the deal between the minority Liberals and the NDP.
Shaker 'denies any allegation or implication'
The CRA wouldn't comment on its legal spat with financial adviser Shaker, citing strict taxpayer confidentiality rules.
But it said that in general, initiatives to promote transparency are "a positive step" to help enforce tax laws.
"Having access to information on the true owners, beneficiaries, directing minds or related parties of an entity or asset better positions tax administrations around the world to tightening the net on those high net-worth individuals, corporations and entities who try to avoid paying their fair share of taxes," the CRA said in a statement.

CBC News sent a list of questions and preliminary research findings to Shaker and his lawyers — among them, the fact that his offshore company Branstead Ltd. appears to make use of nominee directors and shareholders, and that this would tend to frustrate the CRA's ability to collect on any tax debt he owes.
They did not answer specific queries, but one of those lawyers replied broadly last week that Shaker "denies any allegation or implication set out in your list of questions" and that "he will continue to legally establish his case in the courts."

(Chris Wattie/Reuters) A Tax Court judge has slammed the Canada Revenue Agency and the Justice Department for "egregious" conduct that threatened to deny three taxpayers the right to a fair trial in an epic battle over millions of dollars worth of tax penalties. In a scathing decision that could have widespread implications, Judge Patrick Boyle found the CRA committed an "intentional and deliberate" pattern of ignoring court rules to "frustrate" the right that all Canadians have to get a full picture of an opponent's case before heading to court. The three taxpayers — a Manitoba psychiatrist, an Ontario nurse and a B.C. Air Canada pilot — were appealing three million dollars' worth of gross negligence penalties levelled against them, for rejected returns filed through a pair of disgraced tax consultancy firms. But after years of pre-trial delays resulting from the CRA's repeated failure to comply with his orders, Boyle took the extraordinary measure of allowing the appeals without having a trial on the merits of the case this week, to "protect the integrity of the judicial process." Canada Revenue Agency accused of blaming victims as 'gross negligence' cases drag on "I find the [CRA's] egregious approach to pre-trial discovery in these appeals to prejudice all three appellants who have been denied," Boyle wrote in his ruling. "These abuses of the discovery process ... have caused considerable delay and expense to three Appellants in respect of their appeals. They have also led to an inefficient use of public resources financed by all Canadians." 'With great power comes great responsibility' Boyle's decision is the latest chapter in a saga that has seen hundreds of Canadians slapped with gross negligence penalties after filing returns through DeMara Consulting and Fiscal Arbitrators. The principals of both companies were jailed for tax fraud for promoting schemes Boyle says "resemble in many respects the de-taxation practices of sovereign citizens, though with less of the non-fiscal cultish aspects." Hundreds of Canadians filed appeals in Tax Court after the CRA levelled gross negligence penalties against them in association with returns filed through a pair of disgraced tax consultancies. (Minichka / Shutterstock) According to court records, B.C.-based DeMara's scheme was called "the remedy" and essentially involved claiming personal expenditures and debts as expenses and capital losses for a non-existent business. Canada's Income Tax Act gives CRA the ability to levy penalties against Canadians who make false statements and omissions on their tax returns, either knowingly or under circumstances that amount to gross negligence. The penalties in the DeMara and Fiscal Arbitrators case have reached into the millions, leading to a huge backlog of appeals that have been making their way through tax court since 2013. Tax agency obtains 'jeopardy order' for debt from Downton Abbey-loving billionaire Jeff Pniowsky, the Winnipeg-based lawyer who represented all three plaintiffs, said fighting a decade-long court battle with the threat of financial ruin hanging over their heads has cost his clients "years of happiness." "This was fundamentally a case about justice. Justice for the taxpayers who had to endure years of gamesmanship and chicanery by one of Canada's most powerful institutions: the CRA," Pniowsky told the CBC. Pniowsky, who has four children, said Boyle's ruling reminded him of a line from one of his family's favourite superhero movies: Spiderman. "With great power comes great responsibility," he said. "It's clear from this case that the CRA and the Justice Department have lost sight of that common-sense principle." 'Unprepared, unco-operative or untruthful' Boyle's detailed 53-page ruling goes through the history of the case, and the circumstances that led to each of the orders he found the CRA later ignored. The fight centred on pre-trial discovery, and the rights of the taxpayers to examine a CRA representative or "nominee" who was "knowledgeable" about their case. The CRA has the ability to levy gross negligence penalties against taxpayers who lie on their income tax forms. The penalties have been devastating for some. (Graeme Roy/The Canadian Press) The first person the agency put forward was "unaware of any criminal investigation and had not informed himself" about any involvement of the CRA's criminal investigators in the case. The second nominee was a lead criminal investigator who "did not even inform himself ... whether any investigation was undertaken of any of these three appellants." At one point, Boyle called the investigator "thoroughly unprepared, unco-operative or untruthful." The judge said the CRA and its lawyers twisted the words of an order that boiled down to a demand for the agency to hand over any documents relating to any investigations that touched on the three appellants. "I variously described this as 'outrageously misleading and inappropriate,' 'this might be contemptuous,' ... 'deeply, deeply disturbed,' 'highly inappropriate' and 'I don't think you were reasonably mistaken,'" Boyle wrote. It is an ex-reference: B.C. judge removes 'dead parrot' joke from class-action ruling The judge also zeroed in on the CRA's failure to tell the defence that the second page of a three-page "Investigation Abort Report" against one of the plaintiffs had gone missing. The report was handed over in the middle of hundreds of documents. The missing page explained why a criminal investigation was dropped. The CRA claimed it had no "specific obligation" to point out missing pages — a position Boyle found "shocking." "Courts do not consider discovery to be a game, and it is particularly disappointing when the Crown is the offending party," the judge said. He said the omission gave credence to the idea the CRA "is hiding something from them, from the Court and from Canadians about how these investigations have been conducted. 'Stop, or I'll yell stop again!' The judge pointed out that the CRA is "represented by the Department of Justice which is essentially Canada's largest national law firm and employs a large number of tax litigation lawyers who are wholly familiar" with the court's rules. Boyle said making yet another order for compliance would be pointless. The three appeals were supposed to be the lead plaintiffs for a much larger group of appeals. The judge said those people will have to speak with their lawyers to determine how the ruling applies to them. Pniowsky says he believes the decision is the first of its kind against the CRA. He predicted fallout both in other DeMara and Fiscal Arbitrators cases and in the wider world of tax litigation. "Intoxicated with a sense of moral righteousness, the government apparently determined or acted like these Canadians were not worthy of basic procedural rights, thereby committing the same wrongs they accused the taxpayers of: gross neglect, wilful blindness and at times deceptive conduct," he said. Settlements are concluded independently from the Minister of National Revenue and the Minister's Office to ensure the integrity of the tax system. They involve an independent process within the CRA, in collaboration with the Department of Justice. In tax disputes, there is limited flexibility on settlement amounts because CRA tax disputes are subject to the legal principles set out in the Income Tax Act. The CRA is bound by the principles of tax law and the rules arising from Canadian tax legislation. For example, when a tax dispute involves an amount of $50,000, the taxpayer and the CRA can agree on a lesser amount only if the determination of this amount is based in law. Settlements can also resolve tax issues that are not before the Court. These settlements are carried out through an agreement called "minutes of settlement," which is signed by a CRA official and the taxpayer. Because this agreement is not public, taxpayers may see the use of settlements as a lack of transparency. This is why I have asked the CRA to review its procedures to find ways it can ensure greater transparency regarding why it enters into settlements. Taxpayers expect the tax system to be fair and equitable, and the CRA works continuously to make sure that it is. The CRA remains committed to combatting tax evasion and aggressive tax avoidance. Individuals who participate in illegal tax strategies must face the consequences of their actions, and taxpayers expect nothing less. Brian Greenspan is one of the most prominent and respected defence lawyers in Canada. He has served as counsel on many of Canada’s most significant cases that have helped shape criminal law over the past five and a half decades. He has an unparalleled and distinguished reputation in both trial and appellate law.
A Fellow of the American College of Trial Lawyers, the International Society of Barristers, and Litigation Counsel of America, Brian is sought after for his sage advice in respect of international cross border and government investigations, extradition, mutual legal assistance and criminal trial and appellate advocacy.
Brian has been recognized by his peers in The International Who’s Who of Business Crime Defence Lawyers and Best Lawyers in Canada since their inception in 2003. He has been named a “Band 1 Leading Individual” in white collar crime by Chambers Canada since its inaugural edition in 2016 and received the Chambers Canada Lifetime Achievement Award in 2020. He was named in 2010, 2013 and 2018 as one of the 25 Most Influential Lawyers in Canada by Canadian Lawyer.
He received the Douglas K. Laidlaw Medal for excellence in oral advocacy in 2002 and the G. Arthur Martin Medal for contributions to criminal justice in Canada in 2010. In 2012, Brian was recognized by The Law Society of Upper Canada with an honorary Doctor of Laws degree. In 2013, he was awarded the Alumni Gold Key for achievement by Osgoode Hall Law School, was selected as one of the Alumni of Influence of University College at the University of Toronto, and was presented with the Key to the City of his hometown, Niagara Falls, Ontario. He was the recipient of the Toronto Lawyers’ Association Award of Distinction in 2020.
Brian was the President of the Criminal Lawyers’ Association (Ontario) from 1989 to 1993 and the founding Chair of the Canadian Council of Criminal Defence Lawyers from 1992 to 1996. He is a member of the Ontario Regional Committee of the Supreme Court Advocacy Institute and a member of the Board of Directors of the Innocence Canada Foundation.
Brian received his B.A. from the University of Toronto in 1968 and his LL.B. from Osgoode Hall Law School in 1971. He was awarded the Laidlaw Foundation Fellowship and received his LL.M. from the London School of Economics in 1972. He was called to the bar in 1974. He taught The Administration of Criminal Justice at Osgoode Hall Law School for seven years and was a special lecturer in Criminal Law at the Faculty of Law, University of Toronto Law School for fourteen years. He has lectured extensively as a keynote speaker and panelist at criminal law continuing education programs and law schools across Canada. He was the Bora Laskin Distinguished Lecturer at the Faculty of Law, Lakehead University in 2018 and held the Milvain Chair in Advocacy at the University of Calgary in 2020.
