The meeting was attended by members of the newly formed not-for-profit organization, National Citizens Inquiry, who remain members of Citizens Inquiry Canada. The Chair of Citizens Inquiry Canada, Mr. David Ross, summarized the consensus of the meeting, "to enter into good faith negotiations as quickly as possible to reach an agreement which will allow both groups to pursue their objectives." The original National Citizens Inquiry was organized by a group of individuals who believed it was necessary to examine Canada's response to COVID-19. This core group of individuals referred to themselves as the “Support Group”. They decided it was necessary to establish a non-profit corporation for the purpose of receiving and disbursing funds and holding assets. A corporate entity was created with the name Citizens Inquiry Canada (operating as National Citizens Inquiry), with a board of directors subject to corporate law. Under corporate law, the board of directors have fiduciary duties of loyalty and due diligence duties of care, owed not to the Support Group, but to the corporation. It is an inescapable reality of corporate law that these duties of the directors are created upon incorporation. Citizens Inquiry Canada carried on the business of conducting the National Citizens Inquiry into the response of government to Covid-19. Citizen-funded hearings were organized and held across Canada receiving the testimony of hundreds of witnesses. Subsequently, an interim report and a final report were released. Respecting the courage of the witnesses and the intentions of donors and supporters, the reports and recommendations will be preserved and promoted as a legacy for all Canadians, in fulfillment of the primary mission of the National Citizens Inquiry. Once the final report was nearing completion, the obvious secondary purpose of promotion and implementation arose for action. Reports should exist to be actioned. On September 26, 2023 the Support Group (SG) recognized the need to promote implementation and passed a resolution unanimously endorsing that the NCI should pursue the implementation of the recommendations of the Commissioners’ Report, then still being drafted (and which recommendations were subsequently released with the final report, on November 28): “NCI Initial and Secondary Purpose: MOTION moved by Ted/Jerry to adopt the following  initial and secondary purposes for NCI as proposed by Dave. CARRIED UNANIMOUSLY.  i. Initial Purpose: To hold a national inquiry via a series of meetings across the nation, and  produce a report and recommendations (in progress)  ii. Secondary Purpose: To promote the prompt and effective implementation and adoption of the NCI's report recommendations by those with authority to do so” There was no mention of an additional mission of holding new hearings into the same, similar or unrelated subjects. The resolution was moved by Ted Kuntz, who soon after became chair of the breakaway Support Group which chose to disregard the above commitment to implementation. Support Group members had an expectation that their group’s decisions on the planning and conduct of National Citizens Inquiry operations would be accepted and supported by the directors. Up until the point in time when a bare majority of a greatly reduced in size Support Group decided to depart from their own adopted policy, the board did follow the decisions of Support Group. In effect, the Support Group functioned as an operational committee of the board. This delegation of operational authority continued for as long as the board was of the opinion, in the exercise of their fiduciary duties, that the decisions of the Support Group were in the best interests of the corporation. In December 2023, the board lost confidence that the Support Group was acting in the best interests of the corporation, when the Support Group decided that it wished to pursue further hearings rather than to promote the implementation of the final report recommendations, which implementation they had committed themselves to pursue by the resolution moved by Ted Kuntz on September 26, set out above. Other events which gave rise to this loss of confidence involved certain Support Group members bullying and intimidating crucial contractors and other members of the Support Group, and the summary dismissal of other members of the Support Group. The two members of the Support Group who composed the board of Citizens Inquiry Canada were included in the departures. The events causing loss of confidence also included the appointment, by the Support Group, of one of their members as Executive Director. The appointment was made despite objections related to the absence of legal authority for the action.   The remaining Support Group members formed the theory that they, and not the board of Citizens Inquiry Canada, were the directing mind and will of the corporation. The corporation's directors sought outside legal assistance and received advice that this theory had no basis in law. Nevertheless, the remaining Support Group members proceeded to convert certain assets of the corporation to their own control and formed a corporation with the name National Citizens Inquiry. They also conducted a publicity campaign aimed at justifying their actions. The directors of the new corporation have also begun soliciting funds from the public and have demanded the transfer of funds controlled by the non- profit Citizens Inquiry Canada, a transfer which in the opinion of the directors, and per legal advice, would be unethical and unlawful. The remaining funds will be used by Citizens Inquiry Canada as intended by the donors, to preserve and promote the reports resulting from the hearings. It is unfortunate and regrettable that the actions of the remaining Support Group members have caused confusion and loss of morale among some followers and supporters of the National Citizens Inquiry project. The directors of Citizens Inquiry Canada would like to resolve outstanding issues without drawing attention away from the witnesses’ testimony and the resulting historical Commissioners’ Report. However, the best resolution may be for Citizens Inquiry Canada, operating as NCI (2023), to pursue the purpose agreed to by all, seeking implementation of the recommendations of the final report.The new dissenting organization would be free to pursue the purpose of new hearings. Citizens Inquiry Canada wishes the new organization well in their hearing activities under their newly created corporation. We request their support and cooperation as we pursue our previously agreed upon activities. Citizens Inquiry Canada has reported that Canadians donated more than $800,000 to finance the 24- days of hearings across Canada and the preparation and promotion of the Commissioners' Report. Approximately $80,000 remains on hand to pay translation, audit, and report promotion costs. Members approved the organization's financial statements at the Annual General Meeting on March 1st. Members also ratified the appointment of an independent Chartered Professional Accounting firm to audit the finances of the organization for the initial fiscal period ending August 31, 2023. Un OBNL nommé Citizens Inquiry Canada, exerçant ses activités sous le nom de National Citizens Inquiry (Commission d’enquête nationale citoyenne), a donc été constitué, comprenant un conseil d’administration assujetti aux lois relatives aux organismes à but non lucratif. En vertu de ces lois, le conseil d’administration a des obligations fiduciaires de loyauté et des obligations de diligence raisonnable, dévolues non pas au groupe de soutien, mais à l’OBNL lui-même. Au moment où le rapport final était presque achevé, l’objectif secondaire, qui était d’en faire la promotion et la mise en œuvre, s’est imposé. Ce genre de rapport doit mener à l’action. Le 26 septembre 2023, le groupe de soutien a reconnu la nécessité de réaliser cet objectif; il a adopté à l’unanimité une résolution appuyant la promotion de la mise en œuvre, par la CeNC, des recommandations formulées dans le rapport des commissaires. Ces recommandations, alors en cours de rédaction, ont été publiées dans le rapport final, le 28 novembre 2023. La résolution s’énonce comme suit : « Objectif premier et objectif secondaire de la CeNC : proposition de Ted et Jerry d’adopter les objectifs premier et secondaire suivants pour la CeNC, tels que proposés par Dave. ADOPTÉE À L’UNANIMITÉ. i. Objectif premier : mener une enquête nationale par le biais d’une série de rencontres à la grandeur du pays, et produire un rapport et des recommandations (en cours) ii. Objectif secondaire : promouvoir la mise en œuvre et l’adoption rapides et efficaces des recommandations énoncées dans le rapport de la CeNC par les personnes habilitées à le faire » Il n’était pas fait mention d’une mission supplémentaire consistant à organiser de nouvelles audiences sur les mêmes sujets, des sujets similaires ou d’autres sujets non liés. La résolution avait été proposée par Ted Kuntz, devenu peu après président du groupe de soutien dissident, qui n’a plus tenu compte de l’engagement de mise en œuvre susmentionné. Les membres du groupe de soutien s’attendaient à ce que le conseil d’administration accepte et appuie les décisions prises par leur groupe concernant la planification et la direction des activités de la CeNC. Ce fut le cas jusqu’au moment où une majorité simple d’un groupe de soutien très réduit a décidé de s’écarter de la politique qu’il avait lui-même adoptée. En fait, le groupe de soutien a servi de comité opérationnel en appui au conseil d’administration. Cette délégation d’autorité sur le plan opérationnel s’est poursuivie tant que le conseil d’administration a estimé, dans l’exercice de ses obligations fiduciaires, que les décisions du groupe de soutien étaient dans l’intérêt de l’organisation. En décembre 2023, lorsque le groupe de soutien a décidé qu’il souhaitait poursuivre la tenue d’audiences plutôt que de promouvoir la mise en œuvre des recommandations énoncées dans le rapport final, le conseil d’administration a perdu confiance dans le fait que le groupe de soutien agissait au mieux des intérêts de l’organisation. Le groupe de soutien s’y était pourtant engagé dans le cadre de la résolution proposée par Ted Kuntz le 26 septembre, comme indiqué ci-dessus.   D’autres événements ont aussi contribué à cette perte de confiance. Ainsi, certains membres du groupe de soutien ont intimidé des contractuels essentiels ainsi que des collègues du groupe. Ils ont également congédié sans ménagement d’autres membres du groupe de soutien, y compris les deux personnes qui étaient membres du conseil d’administration de la Citizens Inquiry Canada. Les événements à l’origine de la perte de confiance comprennent également la nomination, par le groupe de soutien, de l’un de ses membres au poste de directeur général. Cette nomination a eu lieu en dépit des objections soulevées concernant la légalité de cette action. Les administrateurs de cet organisme ont aussi commencé à solliciter des fonds auprès du public et ont exigé le transfert des fonds gérés par la Citizens Inquiry Canada, un transfert qui, selon les administrateurs et sur la base d’un avis juridique, serait contraire à l’éthique et à la loi. Les fonds restants seront utilisés par la Citizens Inquiry Canada pour préserver et promouvoir les rapports résultant des audiences, conformément à l’intention des donateurs. Il est malheureux et regrettable que les actions des membres restants du groupe de soutien aient semé la confusion et sapé le moral de certains sympathisants de la CeNC. Les administrateurs de la Citizens Inquiry Canada aimeraient résoudre les questions en suspens sans détourner l’attention des témoignages et du rapport historique des commissaires qui en a résulté. Cependant, la meilleure solution pourrait être que la Citizens Inquiry Canada, qui a dirigé la Commission d’enquête nationale citoyenne jusqu’en 2023, poursuive l’objectif convenu par tous, à savoir la mise en œuvre des recommandations formulées dans le rapport final. De son côté, le nouvel organisme dissident serait libre de poursuivre son objectif de tenir de nouvelles audiences. La Citizens Inquiry Canada souhaite au nouvel organisme beaucoup de succès dans les activités qu’il mènera, soit la tenue d’audiences supplémentaires sous l’égide de l’entité récemment créée. Nous leur demandons de nous soutenir et de collaborer avec nous dans la poursuite des activités convenues antérieurement. La Citizens Inquiry Canada a indiqué que les Canadiens ont donné plus de 800 000 dollars pour financer les vingt-quatre jours d’audiences tenues à la grandeur du pays, ainsi que la préparation et la promotion du rapport des commissaires. Il en reste 80 000 dollars pour payer les coûts de traduction, d’audit et de promotion du rapport. Lors de l’assemblée générale annuelle du 1er mars dernier, les membres ont approuvé les états financiers de l’organisme. Ils ont également ratifié la nomination d’un cabinet indépendant d’expertscomptables agréés pour vérifier les finances de l’organisme pour le premier exercice financier qui a pris fin le 31 août 2023. En tant que président, monsieur Ross a tenu à remercier tous les donateurs, les bénévoles, les contractuels, les témoins et les commissaires qui ont contribué au succès de la Commission d’enquête. A special message from the Chair of the NCI, Ted Kuntz

Dear Supporters of the National Citizens Inquiry,


The last four years have been a time of unprecedented overreach by
governments around the world.  Canada has been at the forefront of
politicians, police and the courts unlawfully intruding in the lives
of Canadians.


The National Citizens Inquiry has proven to be a valuable instrument
in bringing forward the voices of Canadians harmed by government
measures, voices that have been actively censored by our governments,
media and public health.


The NCI Commissioners have served us well with a comprehensive Final
Report including recommendations to government and Canadian
institutions which is now being disseminated across the country.  We
are very proud of the role everyday Canadians have had in the
development of this citizen-led and citizen funded institution.


Our reason for writing today is that the future of the NCI is being challenged.


What has been revealed in recent weeks is that there are interests
that do not want the National Citizens Inquiry to continue its efforts
of citizen-led accountability.


To provide some context, when the NCI was established the initial
board (called the Support Group) required a not-for-profit
organization to receive the funds donated to support the NCI. The
Support Group created ‘Citizens Inquiry Canada’ (CIC) for the express
purpose of receiving and distributing the funds donated to the
National Citizens Inquiry. At all times, the NCI management,
oversight, and control rested with the NCI Support Group.


To our surprise, in December 2023 David Ross and Ches Crosbie, whom
were appointed by the NCI Support Group to serve as directors of
Citizens Inquiry Canada, began to challenge the authority of the NCI
management team to make decisions pertaining to the operations and
future of the NCI.


The actions of the CIC directors escalated when notices were sent to
our staff from Ches Crosbie directing them not to follow the direction
of the NCI Support Group, and more importantly, to withhold access
codes to our social media, email and streaming accounts.


On January 10, 2024 the NCI Support Group received a letter from CIC
contracted lawyer Michael Collins purporting that the decision on the
future of the NCI was under the authority of Citizens Inquiry Canada.


What we are experiencing is an attempt by these individuals to take
control of the National Citizens Inquiry. Of note is that these
challenges to the authority of the Support Group only began following
a vote to remove David Ross as a Support Group member.


We are writing to inform you that the NCI Support Group remains
committed to continuing the NCI as an agent of citizen-led,
citizen-funded accountability of governments and others whom we expect
to act in the best interest of Canadians.


Here are some of the steps we’ve taken to address this attempt to
control the NCI:

    Established a Federally registered not-for-profit corporation
under the name National Citizens Inquiry, with bylaws permitting the
ongoing mandate of the NCI.

    Issued formal notice to the directors of Citizens Inquiry Canada
that their services are no longer required.

    Demanded Citizens Inquiry Canada cease the receiving and spending
of NCI donor funds.

    Prepared a formal request for the transfer of all remaining funds
donated to the NCI and held by Citizens Inquiry Canada to our new
not-for-profit.

    All future donations via the website are being directed to the
National Citizens Inquiry.


The National Citizens Inquiry has appointed Ted Kuntz as Chair of the
NCI Support Group and National Citizens Inquiry Corporation.


Shawn Buckley has agreed to continue to serve as Lead Council and in a
leadership role in guiding the strategic direction of the NCI.


Mr. Crosbie and Mr. Ross have been removed from the NCI Support Group
and thus any statements by Mr. Crosbie or Mr. Ross that they represent
the National Citizens Inquiry are without merit.


At this time, postings on our now “former” social media accounts are
no longer under the control of the NCI and therefore do not represent
the National Citizens Inquiry. We encourage you to connect with our
new social media accounts listed below.


All of these efforts, and others, are necessary to secure the
independence and integrity of the NCI and the future of this important
citizen-led, citizen-funded initiative.


As disturbing as all of this has been, in the larger picture we view
these events as positive.  We are now wiser and stronger, and able to
pursue new hearings and to disseminate the Commissioners Report in a
non-partisan manner, independent of outside influence. We hold that it
is our duty to continue the work of the National Citizens Inquiry.


We look forward to continuing our efforts to bring awareness,
accountability, and integrity to Canada.  Our stated purpose is
important: “To support civil society efforts that recognize and uphold
the supremacy of God, the rule of law, public accountability, and
transparency.”
